**Top line:** Helen of Troy, owner of Osprey packs and Hydro Flask bottles, said its board unanimously rejected an unsolicited, non-binding $37-a-share cash offer from Empower Brands, a vehicle owned by Spectrum Brands and Oaktree Capital. Law360 puts the bid at about $1.6B. The company called it "opportunistic," timed to a share price still depressed by tariffs, and said Empower turned down a standard confidentiality agreement that would have let it look at the books. Helen of Troy instead laid out a five-year plan with low-to-mid single-digit sales growth and high-single-digit adjusted EBITDA growth, and it named Osprey among four "Power Brands" it will back. It also said it is reinvesting $66.5M to $70.5M of tariff refunds into the business and that the board "remains open" to offers in shareholders' interest, so this may not be the last bid.
